About these Terms

The websites at telgrow.ai, demo.telgrowth.com and any other website we operate that links to this page (the “Site”) are owned and operated by Telgrow, LLC (“Telgrow,” “we,” “us” or “our”). Whichever name or brand look the Site displays, it is operated by Telgrow, LLC.

These Terms of Service (“Terms”) govern your use of the Site, including when you request a demo. You accept these Terms by using the Site and, expressly, by submitting our demo request form, which says: “By submitting, you agree to our Terms of Service and that Telgrow may contact you about your demo by email or phone.” When you accept these Terms, you do so on behalf of yourself or the business you represent, and you confirm that you have the authority to do so. You must be at least 18 years old to use the Site. If you do not agree to these Terms, please do not use the Site.

The Telgrow platform has its own agreement. Businesses use the Telgrow platform (the “Platform”) under a separate customer agreement signed with Telgrow. These Terms do not give anyone the right to use the Platform. If these Terms conflict with a customer agreement, the customer agreement controls for the Platform.

IMPORTANT: please read the “Dispute resolution” section carefully. It requires you and Telgrow to resolve disputes through binding individual arbitration instead of in court, and it waives class action and jury trial rights. You have 30 days from the first time you submit our demo request form or otherwise accept these Terms to opt out of the arbitration agreement, as described in that section.

Using the Site

License

Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable license to access and use the Site to learn about Telgrow and to request a demo for yourself or the business you represent.

Restrictions

You may not:

  1. license, sell, rent, lease, transfer, assign, distribute or commercially exploit the Site or any content on it;
  2. modify, create derivative works from, disassemble, decompile or reverse-engineer any part of the Site;
  3. access the Site to build a similar or competing product or service;
  4. copy, reproduce, distribute, republish, display, post or transmit any part of the Site, except as these Terms allow; or
  5. use the Site in any way our Acceptable Use Policy prohibits.

Changes to the Site

We may change, suspend or discontinue the Site, or any part of it, at any time, with or without notice. We are not liable to you or anyone else for doing so.

No support obligation

We have no obligation to provide support or maintenance for the Site.

Demo requests and communications

When you request a demo, you agree to give accurate information about yourself and your business, and to give us only your own contact details. Please do not submit another person’s name, email address or phone number.

Agreeing to texts, or to automated, prerecorded or AI voice calls, on our demo form is optional and is not a condition of buying anything. Our TCPA Notice explains how we contact people who request a demo and how to opt out, and our Privacy Policy explains how we handle the information you give us.

Information on the Site

Information on the Site, including descriptions of compliance features such as litigator and Do Not Call scrubbing, consent timestamps and call recording, is general information about our products. It is not legal advice, and it does not create an attorney-client relationship. You are responsible for getting your own legal advice about the laws that apply to your calling and texting.

Product screens, dashboards, sample calls, campaign examples and figures shown on the Site may be illustrative. They are not a promise of any particular result, volume or level of risk. Platform features and availability may change, and what a customer receives is set by its customer agreement.

Ownership and feedback

Ownership

The Site and its content, including all copyrights, patents, trademarks and trade secrets in them, belong to Telgrow or its licensors. These Terms do not transfer any ownership rights to you, other than the limited license described above. We reserve all rights not expressly granted in these Terms.

Trademarks

Telgrow’s names, logos and other marks belong to Telgrow. The names and logos of other companies shown on the Site, such as CRM providers we integrate with, belong to their owners, and showing them does not mean those companies endorse or are affiliated with Telgrow. You may not use any of these marks without the owner’s prior written permission.

Feedback

If you share feedback or suggestions about the Site or our products, you grant us a perpetual, irrevocable, worldwide, non-exclusive, fully paid, royalty-free license to use that feedback in any way and for any purpose, without attribution or payment to you. Please do not send feedback you consider confidential or proprietary.

Privacy and cookies

Our Privacy Policy explains how we collect, use and share personal information, and our Cookie Policy explains the cookies the Site uses.

Third-party services

The Site may link to or mention third-party websites, products or services, such as CRMs that work with the Platform (“Third-Party Services”). We do not control, endorse or take responsibility for Third-Party Services. You use them at your own risk, and their own terms and privacy practices apply.

Indemnification

You agree to defend, indemnify and hold harmless Telgrow and its officers, employees and agents from any claim brought by a third party, and the reasonable costs and attorneys’ fees related to it, arising out of (1) your use of the Site, (2) your breach of these Terms or our Acceptable Use Policy, or (3) your violation of any law or regulation. We may take control of the defense of any such claim at your expense, and you agree to cooperate with our defense. You may not settle any such claim without our prior written consent. We will make reasonable efforts to tell you promptly about any such claim we become aware of.

Disclaimers and limitation of liability

Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TELGROW AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT IT IS FREE OF VIRUSES OR OTHER HARMFUL CODE. IF APPLICABLE LAW REQUIRES ANY WARRANTY, IT IS LIMITED TO 90 DAYS FROM YOUR FIRST USE OF THE SITE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. TELGROW AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, COSTS OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE; AND
  2. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SITE IS LIMITED TO $50 USD. HAVING MORE THAN ONE CLAIM DOES NOT INCREASE THIS LIMIT.

Suspension and termination

These Terms apply for as long as you use the Site. We may suspend or end your access to the Site at any time and for any reason, including if we believe you have broken these Terms or our Acceptable Use Policy. We are not liable to you for doing so. The sections on restrictions, ownership, feedback, indemnification, disclaimers, limitation of liability, dispute resolution and general terms survive after your access ends.

Dispute resolution

Please read this section carefully. It affects your legal rights, including your right to sue in court and your right to a jury trial.

What this covers

Except as described below, you and Telgrow agree to resolve all disputes arising out of or relating to the Site or these Terms through binding individual arbitration, not in court. The exceptions are: (1) individual claims that qualify for small claims court; and (2) requests for injunctive or other equitable relief to protect intellectual property, such as trademarks, trade secrets or copyrights. This agreement to arbitrate applies to all such claims, including claims that arose before you agreed to these Terms. Disputes about the Platform are governed by the customer agreement.

Try to resolve it first

Before starting arbitration, you and Telgrow agree to try to resolve the dispute informally. The party raising the dispute must send the other a written notice describing it (an “Informal Notice”). Send your Informal Notice to legal@telgrow.ai. Within 45 days of receiving an Informal Notice, the parties will meet by phone or video in good faith to try to resolve the dispute. If the dispute is not resolved within 60 days after the Informal Notice is received, either party may start arbitration.

Arbitration rules

JAMS (jamsadr.com) will administer the arbitration. Claims under $250,000, not counting fees and interest, will follow the JAMS Streamlined Arbitration Rules and Procedures. Larger claims will follow the JAMS Comprehensive Arbitration Rules and Procedures. Unless the parties agree otherwise, the arbitration will take place in the county where you live.

What a demand must include

A demand for arbitration must include: (1) your name and contact information; (2) a description of the claims and the facts supporting them; (3) the relief you are seeking and a good-faith estimate of the amount in dispute; (4) confirmation that you completed the informal resolution process above; and (5) proof that you paid any required filing fee.

Authority of the arbitrator

The arbitrator decides all disputes that can be arbitrated, including questions about the scope and enforceability of this agreement to arbitrate. A court, not the arbitrator, will decide: (1) challenges to the class action waiver below; (2) disputes about arbitration fees; (3) whether a condition that must be met before arbitration has been satisfied; and (4) which version of this agreement to arbitrate applies. The arbitrator may award the same relief a court could, but only on an individual basis. The arbitrator’s award is final and binding, and judgment on it may be entered in any court with jurisdiction.

Waiver of jury trial

BY AGREEING TO ARBITRATION, YOU AND TELGROW WAIVE THE RIGHT TO A TRIAL BY JUDGE OR JURY FOR ALL CLAIMS THIS SECTION COVERS.

Waiver of class actions

ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS. NEITHER YOU NOR TELGROW MAY BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, REPRESENTATIVE OR COLLECTIVE PROCEEDING. The arbitrator may award relief only on an individual basis. If a court decides that this class action waiver cannot be enforced for a particular claim, that claim may be brought only in a state or federal court in the state in which Telgrow, LLC is organized, and all other claims remain subject to arbitration.

Attorneys’ fees

Each party pays its own attorneys’ fees, unless the arbitrator finds that a claim was frivolous or brought for an improper purpose, or unless applicable law provides otherwise.

Mass arbitration

If a large number of substantially similar demands for arbitration are filed against Telgrow by or with the help of the same law firm or coordinated group, the JAMS Mass Arbitration Procedures and Guidelines will apply to them.

Opting out

You may opt out of this agreement to arbitrate within 30 days after the first time you submit our demo request form or otherwise accept these Terms, by emailing legal@telgrow.ai. Your email must include your name, the email address you use with us, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms.

Changes to this section

If we change this “Dispute resolution” section, the change applies only to disputes that arise after it takes effect. You may reject a change by emailing legal@telgrow.ai within 30 days after it takes effect. If you do, the version of this section you last accepted continues to apply to you.

Severability of this section

If any part of this agreement to arbitrate is found invalid, it will be changed to the minimum extent needed to make it enforceable, and the rest of it stays in effect.

General terms

Governing law

These Terms, and any dispute arising out of or related to them or the Site, are governed by the Federal Arbitration Act, other applicable federal law, and the laws of the state in which Telgrow, LLC is organized, without regard to conflict-of-law rules. For any claim not subject to arbitration, you and Telgrow agree to the exclusive jurisdiction and venue of the state and federal courts located in that state. Even so, either party may ask any court with jurisdiction for injunctive or other equitable relief to protect its intellectual property, and either party may bring an individual action in small claims court for claims within that court’s limits.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will post a notice on the Site or tell you in another appropriate way, and update the effective date at the top of this page. If you keep using the Site after the changes take effect, you accept the updated Terms.

Electronic communications

By using the Site, you agree to receive communications from us electronically, by email or by notices posted on the Site. These communications satisfy any legal requirement that a communication be in writing.

Accessibility

We want everyone, including people with disabilities, to be able to use the Site. If you have trouble accessing any part of it, or have suggestions for making it easier to use, email hello@telgrow.ai and we will make reasonable efforts to help.

Entire agreement

These Terms, together with our Acceptable Use Policy, which is part of these Terms, are the entire agreement between you and Telgrow about your use of the Site. Our Privacy Policy, Cookie Policy and TCPA Notice are notices that explain our practices; they are not part of these Terms. If any provision of these Terms is found invalid or unenforceable, it will be changed to the minimum extent needed to make it enforceable, and the rest of these Terms stay in effect. If we do not enforce a provision, that is not a waiver of it. The word “including” means “including without limitation.” You may not assign these Terms without our prior written consent. We may assign them freely. These Terms bind any permitted assignee.
